Terms of Use for JobsCentral Community

Welcome to JobsCentral Community, an online community that connects you with other members of the working community in Singapore. The JobsCentral service and network (collectively, "JobsCentral Community" or "the Portal") are operated by JobsCentral Pte Ltd. and its corporate affiliates (collectively, "us", "we" or "the Company"). By accessing or using our web site at http://community.jobscentral.com.sg, you (the "User") signify that you have read, understand and agree to be bound by these Terms of Use ("Terms of Use" or "Agreement"), whether or not you are a registered member of the forum. We reserve the right, at our sole discretion, to change, modify, add, or delete portions of these Terms of Use at any time without further notice. If we do this, we will post the changes to these Terms of Use on this page and will indicate at the top of this page the date these terms were last revised. Your continued use of the Portal after any such changes constitutes your acceptance of the new Terms of Use. If you do not agree to abide by these or any future Terms of Use, do not use or access (or continue to use or access) the Portal. It is your responsibility to regularly check the Portal to determine if there have been changes to these Terms of Use and to review such changes.

PLEASE READ THESE TERMS OF USE CAREFULLY AS THEY CONTAIN IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES AND OBLIGATIONS. THESE INCLUDE VARIOUS LIMITATIONS AND EXCLUSIONS, AND A DISPUTE RESOLUTION CLAUSE THAT GOVERNS HOW DISPUTES WILL BE RESOLVED.

1. ACCEPTANCE OF TERMS
This Portal is offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein. Your use of this Portal constitutes your agreement to all such terms, conditions, and notices.

2. PERSONAL AND NON-COMMERCIAL USE LIMITATION
This Portal is for your personal and non-commercial use. You may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products or services obtained from this Portal.

3. DESCRIPTION OF SERVICE
JobsCentral’s Community currently provides users with access to a rich collection of online resources and information including forums, articles, and polling, amongst other things (the “Services”). Unless explicitly stated otherwise, any new features that augment or enhance the current Services, including the release of new JobsCentral resources, shall be subject to the Terms of Use. In order to use the Portal, you must obtain access to the World Wide Web, either directly or through devices that access web-based content, and pay any service fees associated with such access. In addition, you must provide all equipment necessary to make such connection to the World Wide Web, including a computer and modem or other access device.

4. PRIVACY POLICY
Pursuant to our Privacy Policy, we may disclose to third parties certain aggregate information contained in your Registration Data or related data, provided that, such information will NOT include personally identifying information, except as specifically authorized by you or in the good faith and belief that such action is reasonably necessary to comply with the law, legal process, to enforce the Terms of Service, or under any of the other circumstances set forth in our privacy policy, as may be amended from time to time.

5. USER PRIVACY
As a condition of using the Service, you agree to the terms of the Privacy Policy, as it may be changed from time to time. We will provide you notice of any significant changes by placing a link on the JobsCentral Community home page or by email. You understand and agree that we may access, preserve, and disclose your personal information and the contents of your account in order to provide the Service or if required to do so by law or in a good faith belief that such access preservation or disclosure is reasonably necessary to comply with legal process or protect the rights, property and/or safety of its affiliates or the public. Personal information collected by us may be stored and processed in Singapore or any other country in which JobsCentral or its agents maintain facilities. By using the Service, you consent to any such transfer of information outside of your country.

6. ACCOUNT, PASSWORD AND SECURITY
You are responsible for maintaining the confidentiality of the password and account, and are fully responsible for all activities that occur under your password or account. You agree to (a) immediately notify JobsCentral of any unauthorised use of your password or account or any other breach of security, and (b) ensure that you exit from your account at the end of each session. JobsCentral will not be liable for any loss or damage arising from your failure to comply with this Clause.

7. MEMBER CONDUCT
As a condition of your use of this Portal, you guarantee to us that you will not use this Portal for any purpose that is unlawful or prohibited by these terms, conditions, and notices.
This Portal contains forums, chat areas, communities and/or other message or communication facilities (collectively, "Communities"), you agree to use the Communities only to send and receive messages and material that are proper and related to the particular Forum (see 8. FORUM CONDUCT). By way of example, and not as a limitation, you agree that when using a Community, you will not:

(a) Defame, abuse, harass, stalk, threaten or otherwise violate the legal rights (such as rights of privacy and publicity) of others.

(b) Publish, post, upload, distribute or disseminate any inappropriate, profane, defamatory, infringing, obscene, indecent or unlawful topic, name, material or information.

(c) Impersonate any person or entity, including, but not limited to, a JobsCentral official, forum moderator, admin, or falsely state or otherwise misrepresent your affiliation with a person or entity.

(d) harvest or collect email addresses or other contact information of other users from the Service or the Site by electronic or other means for the purposes of sending unsolicited emails or other unsolicited communications;

(e) Upload files that contain software or other material protected by intellectual property laws (or by rights of privacy of publicity) unless you own or control the rights thereto or have received all necessary consents.

(f) Upload files that contain viruses, corrupted files, or any other similar software or programs that may damage the operation of another's computer.

(g) Upload, post or otherwise transmit any Content that infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party.

(h) Upload, post or otherwise transmit any Content that you do not have a right to transmit under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements);

(i) Advertise or offer to sell any goods or services for any commercial purpose.

(j) Conduct or forward surveys, contests, pyramid schemes or chain letters.

(k) Download any file posted by another user of a Forum that you know, or reasonably should know, cannot be legally distributed in such manner.

(l) Falsify or delete any author attributions, legal or other proper notices or proprietary designations or labels of the origin or source of software or other material contained in a file that is uploaded.

(m) Restrict or inhibit any other user from using and enjoying the Communities.

(n) Promote or provide instructional information about illegal activities, promote physical harm or injury against any group or individual, or promote any act of cruelty to animals. This may include, but is not limited to, providing instructions on how to assemble bombs, grenades and other weapons, and creating "Crush" sites.

(o) “Stalk” or otherwise harass another user.

(p) Collect or store personal data about other users.

(q) Registering of multiple membership accounts to represent physically different individuals.

(r) Solicit business through posting, commenting or private messaging.

While JobsCentral prohibits such conduct and Content in connection with the Service, you understand and agree that you nonetheless may be exposed to such conduct and/or Content and that you use the Service at your own risk.

8. FORUM CONDUCT
You agree and acknowledge that during your interaction in any particular forum,

(a) You will only post relevant topics or replies.

(b) You will post in grammatically correct and coherent English.

(c) You will not post any topics as an employee of any related industries to the specific forum representing your brand(s) or service(s) or product(s).

(d) You will not 'hijack' any topics to your advantage.

(e) You will not intentionally put up false information to mislead the crowd.

(f) You will not take part in any flame wars.

(g) You will not solicit business via posting in threads or private messaging. Should you, at any point in time, receive private messages that promote or solicit business, please report the offending user to the administrators.

9. USER DISPUTES
You are solely responsible for your interactions with other Community users. We reserve the right, but have no obligation, to monitor disputes between you and other users.

10. PROPRIETARY RIGHTS

JobsCentral's Rights
JobsCentral and its affiliates and licensors own and retain all rights in the Portal, which contains proprietary and confidential information that is protected by applicable intellectual property and other laws. Except as expressly authorised by JobsCentral, you may not copy, modify, publish, transmit, distribute, perform, display or sell any of JobsCentral's proprietary information. "JobsCentral", the "JobsCentral Community" logo and "JobsCentral Community" are trademarks of JobsCentral Pte Ltd.

Your Rights
We claim no ownership or control over any Content submitted, Posted or displayed by you on or through the Portal, unless stated specifically or otherwise when you submit your content. You or a third party licensor, as appropriate, retain all patent, trademark and copyright to any Content you submit, Post or display on or through the Service and you are responsible for protecting those rights, as appropriate. By submitting, Posting or displaying Content on or through the Service, you grant us a worldwide, non-exclusive, royalty-free license to reproduce, adapt and publish such Content on the Service solely for the purpose of displaying, distributing and promoting the Service or any other of our Services. This license terminates when such Content is deleted from the Service. We reserve the right to syndicate Content submitted, Posted or displayed by you on or through the Service and use that Content in connection with other services offered by us.

Digital Millennium Copyright Act
It is our policy to respond to notices of alleged infringement that comply with the Digital Millennium Copyright Act.

11. GENERAL PRACTICES REGARDING USE AND STORAGE
You agree that JobsCentral Pte Ltd has no responsibility or liability for the deletion or failure to store any Content maintained or posted by or through the Portal. You acknowledge that we have set no fixed upper limit on the number of transmissions you may send or receive through the Portal or the amount of storage space used; however, we retain the right, at our sole discretion, to create limits at any time with or without notice.

12. LINKS TO THIRD PARTY SITES
The Portal may provide, or third parties may provide, links to other World Wide Web sites or resources. Because JobsCentral has no control over such sites and resources, you acknowledge and agree that we are not responsible for the availability of such external sites or resources, and does not endorse and is not responsible or liable for any content on or available from such sites or resources. You further acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content available on or through any such site or resource.

13. ADVERTISEMENTS
JobsCentral Community is an ad-supported service. As such, we display advertisements and promotions on the Portal. The manner, mode and extent of advertising by us on the Portal are subject to change. You agree that we shall not be responsible or liable for any loss or damage of any sort incurred as a result of any such dealings or as the result of the presence of such advertisers on the Portal.

14. CENSORSHIP
We have no obligation to monitor the Communities. However, we reserve the right at all times to disclose any information as necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, at our sole discretion.

We do not control the Content posted via the Portal and, as such, does not guarantee the accuracy, integrity or quality of such Content. You understand that by using the Portal, you may be exposed to Content that is offensive, indecent or objectionable.

We do not control or endorse the content, messages or information found in any Community and, therefore, we specifically disclaims any liability with regard to the Communities and any actions resulting from your participation in any Community. Forum moderators and admin are not authorised JobsCentral spokespersons, and their views do not necessarily reflect those of JobsCentral Pte Ltd.

15. INDEMNITY
You agree to hold harmless and indemnify us from and against any third party claim arising from or in any way related to your use of the Portal, including any liability or expense arising from all claims, losses, damages (actual and consequential), suits, judgments, litigation costs and attorneys' fees, of every kind and nature. In such a case, we will provide you with written notice of such claim, suit or action.

16. INTELLECTUAL PROPERTY RIGHTS
We respect the intellectual property of others, and we ask our users to do the same. If you believe that your work has been copied in a way that your intellectual property rights have been infringed, please email The Editor (colinlim@jobsfactory.com) with the following information:

(a) a description of the intellectual property that you claim has been infringed;
(b) a description of where the material that you claim is infringing is located on the website;
(c) your address, telephone number, and email address;
(d) a statutory declaration, stating (i) that in good faith you believe that an act which constitutes an infringement of the intellectual property rights in question was carried out on the website; (ii) the grounds for your belief; and (iii) such other information as you may think is useful.

17. THIRD PARTY RIGHTS
The nature of the subject matter of the forum on the Portal may see the generation of such content that may offend or are likely to cause distress to employers and third parties. If you as an employer or third party feel that you or your company have been subjected to a case of libel or defamation, please email The Editor (colinlim@jobsfactory.com) with the following information:

(a) a description of the communication of a statement or image that makes a false claim, expressively stated or implied to be factual, that may harm the reputation of an individual, business, product, group, government or nation;
(b) a description of where the material that you claim is offending is located on the Portal;
(c) your address, telephone number, and email address;
(d) a statutory declaration, stating (i) that in good faith you believe that an act which constitutes a defamation or libel against your company or an individual was carried out on the website; (ii) the grounds of your belief; and (iii) such other information as you may think is useful.

18. LIABILITY DISCLAIMER
The information, software, products, and services included on this Web site may include inaccuracies or typographical errors. Changes are periodically added to the information herein. We may make improvements and/or changes in this Web site at any time.
We MAKE NO REPRESENTATIONS ABOUT THE SUITABILITY, RELIABILITY, TIMELINESS, AND ACCURACY OF THE INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS CONTAINED ON THIS WEB SITE FOR ANY PURPOSE. 19. TERMS AND TERMINATION
These Terms of Service will apply to your use of the Portal. We may terminate your use of the Service immediately at any time, for any reason, and at such time you will have no right to use the Portal. Our proprietary rights, disclaimer of warranties, indemnities, limitations of liability and miscellaneous provisions shall survive any such termination.

We may provide you with notices regarding the Portal or these Terms of Service by email or postings to this Web site.

21. GOVERNING LAW
The use of the Portal and any questions or dispute arising from the use of the website shall be construed in accordance with the laws of the Republic of Singapore and you agree to submit to the exclusive jurisdiction of the Singapore courts.

22. MISCELLANEOUS PROVISIONS
These Terms of Service will be governed by and construed in accordance with the laws of the Republic of Singapore, without giving effect to its conflict of laws provisions or your actual state or country of residence. The parties agree to submit to the personal and exclusive jurisdiction of the courts located in the Republic of Singapore. If for any reason a court of competent jurisdiction finds any provision or portion of the Terms of Service to be unenforceable, the remainder of the Terms of Service will continue in full force and effect. You shall not assign these Terms of Service or assign any rights or delegate any obligations hereunder, in whole or in part, whether voluntarily or by operation of law, without our prior written consent. Any such purported assignment or delegation will be null and void and of no force or effect.

Without limiting the foregoing, under no circumstances shall we be held liable for any delay or failure in performance resulting directly or indirectly from acts of nature, forces, or causes beyond its reasonable control, including, without limitation, Internet failures, computer equipment failures, telecommunication equipment failures, other equipment failures, electrical power failures, strikes, labour disputes, riots, insurrections, civil disturbances, shortages of labor or materials, fires, floods, storms, explosions, acts of God, war, governmental actions, orders of domestic or foreign courts or tribunals, non-performance of third parties, or loss of or fluctuations in heat, light, or air conditioning.

These Terms of Service constitute the entire agreement between you and JobsCentral with respect to the subject matter hereof and supersede and replace all prior or contemporaneous understandings or agreements, written or oral, regarding such subject matter. Any waiver of any provision of the Terms of Service by a party will be effective only if in writing and signed by a party.
